THRUM TERMS OF SERVICE

Document ID: thrum-tos Version: 1.4 Last Updated: November 1, 2026

These Terms of Service ("Terms," "ToS") govern your access to and use of the Thrum licensing web service, including the account portal, login, license issuance and management, the license-verification service, and the thrum.team website (collectively, the "Service"), provided by THRUM LLC, a Washington limited liability company with a principal address of 316 Queen Anne Dr, Seattle, WA 98109-1862 ("Thrum," "we," "us"). The Service does not itself provide coding or agentic functionality — that functionality is provided by the downloadable Thrum software (the "Software," as defined in the EULA), which is governed by the separate Thrum End User License Agreement (the "EULA"). Thrum's handling of personal data is described in the Thrum Privacy Policy (the "Privacy Policy"). These Terms, the EULA, and the Privacy Policy should be read together.

BY CREATING AN ACCOUNT OR LOGGING IN, YOU AGREE TO BE BOUND BY THESE TERMS. IF YOU DO NOT AGREE, DO NOT USE THE SERVICE.

1. The Service

The Service allows you to create an account, purchase a subscription license for the Software, or receive a free trial or a complimentary or free-of-charge license (for example under an open-source eligibility program) (each, a "Subscription"), manage that Subscription, and receive license verification when the Software performs a License Check-In (as defined in the EULA). The Service is a licensing and account-management layer only; it does not host or run the coding functionality of the Software, which runs locally on your own device under the EULA.

Some features of the Service may be made available without a paid Subscription. These Terms govern your use of the Service whether or not you hold a paid Subscription.

2. Account Registration and Security

You must create an account to obtain a Subscription. You agree to provide accurate, current, and complete information during registration and to keep it up to date. You are responsible for maintaining the confidentiality of your account credentials and for all activity under your account. Notify us promptly at leon@thrum.team of any unauthorized use of your account.

Registration precedes purchase. Account registration, including acceptance of these Terms and of the EULA, occurs before any purchase is made. You are shown these Terms and the EULA, and accept them, before any payment is taken.

2.1 Acceptance and record of agreement. You accept these Terms by an affirmative act at registration. You acknowledge that:

(a) your acceptance constitutes your electronic signature to these Terms under the federal E-SIGN Act and the Washington Uniform Electronic Transactions Act (RCW 1.80);

(b) Thrum records the fact, date, time, and Version of your acceptance, together with a cryptographic hash of the exact text presented to you and the account under which acceptance was given, and that such records are admissible evidence of your agreement to these Terms; and

(c) a copy of the version you accepted remains available to you through the Service.

3. Subscription, Billing, and Renewals

3.1 Pricing. Subscriptions are available at $15/month or $120/year, or such other pricing as Thrum may publish from time to time.

3.2 Merchant of Record. Purchases made through our online checkout are handled by Lemon Squeezy (or its applicable affiliate), acting as the merchant of record. For those purchases, Lemon Squeezy — not Thrum — is the seller of the Subscription to you, processes your payment, collects and remits applicable sales tax/VAT, and is the counterparty for payment-related matters. Your purchase is also subject to Lemon Squeezy's own terms of service, which apply in addition to these Terms. Thrum does not receive, process, or store your full payment card information. Thrum may also sell a Subscription, such as a Company License, directly under a written Order. In that case Thrum is the seller, and the Order sets the price, payment, renewal, and tax terms, which control over Sections 3.1 through 3.4 where they differ.

3.3 Auto-Renewal and Cancellation.

Your Subscription renews automatically. Unless you cancel before the renewal date, your Subscription will automatically renew at the end of each billing period — monthly for monthly plans, annually for annual plans — and your payment method on file will be charged the then-current price for another full period. Monthly plans renew at $15/month and annual plans at $120/year unless we have given you advance notice of a price change.

How to cancel. You can cancel at any time from your account page at my.thrum.team/account, using Manage subscription. This takes you directly to our merchant of record's secure customer portal, already signed in, where you can cancel in one step. You may also cancel by emailing leon@thrum.team. Cancelling takes effect at the end of your current paid period, except during a free trial (Section 3.8).

Cancelling stops all future renewals. It does not close your account, delete your data, or end your access immediately: you keep full access for the remainder of the period you have already paid for, and your licence continues to work until then. Cancellation does not require you to speak with anyone or complete any additional step.

Renewal reminder. For annual Subscriptions, we will send you a reminder by email between forty-five (45) and fifteen (15) days before each renewal date, stating the renewal date, the amount that will be charged, and how to cancel.

Price changes. We will give you at least thirty (30) days' notice by email before any price increase takes effect, and the increase will apply only from your next renewal. If you do not accept it, you may cancel before it takes effect.

Acknowledgment. After your purchase, you will receive a confirmation containing these renewal terms and cancellation instructions in a form you can retain.

3.4 Refunds and Cancellation.

Cancelling. You can cancel at any time, as described in Section 3.3. Cancellation stops all future renewals. Cancelling does not by itself entitle you to a refund for the rest of the term.

Annual Subscriptions. You can cancel at any time to turn off renewal. Pro stays on until the end of the year you paid for.

Monthly Subscriptions. Cancelling stops future renewals and you retain access through the end of the month you have paid for.

How refunds are paid. For a purchase through our online checkout, because Lemon Squeezy is the merchant of record and the seller of your Subscription, Thrum will authorize and instruct any refund due under these Terms, and Lemon Squeezy will issue it to your original payment method. Refund timing is determined by Lemon Squeezy and your payment provider.

Statutory rights. Nothing in this Section limits any non-waivable right you have under the law of your place of residence, including any statutory cooling-off or withdrawal right for digital content. See Section 10.1.

3.5 License Effect. If your Subscription is not active (whether due to cancellation, non-payment, or lapse), the Software's License Check-In will reflect an inactive status and paid features of the Software will be disabled, as described in the EULA.

3.6 Scope of a Subscription. Unless a different limit is stated at checkout or in your Order, an individual Subscription entitles a single named individual to install and use the Software on the number of devices allowed by the plan, shown in your account portal, that the individual owns or controls, for that individual's own use. A Subscription may not be shared among multiple individuals. Where an Order or plan specifies a seat, user, device, or concurrency limit, that limit governs and your license under the EULA is limited accordingly. "Order" means the checkout record or written order for your Subscription, including the plan and any stated limits.

3.7 Company Licenses. A company or other organization (the "Company") may obtain a Subscription covering its personnel at an email domain it controls (a "Company License").

  • Who is covered. A Company License covers each individual who signs in with a verified email address at the licensed domain, up to the number of seats in the Order. Free or public email domains (for example, consumer webmail services) are not eligible. Thrum may require the Company to prove that it controls the domain.
  • Seats. A seat is assigned to an individual on first activation and stays assigned until the Company or Thrum releases it. The seat limit is a hard limit: once every seat is assigned, further individuals cannot activate until the Company obtains more seats or a seat is released. A seat has no device limit unless the Order sets one.
  • Each user is bound individually. Every individual using a seat must accept the EULA personally, and is bound by it and by these Terms.
  • Company responsibility. The Company is responsible for its personnel's compliance with the EULA and these Terms, for keeping the licensed domain's email accounts under its control, and for releasing the seats of personnel who leave. Use by anyone who obtains an email address at the licensed domain counts against the Company's seats.

3.8 Free Trial. Your free trial of the Pro Features runs for fourteen (14) days from when you confirm your email address, unless Thrum extends it, and needs no payment card. Each device gets one trial. When it ends, you are on the Free Features unless you have bought a Subscription. If you buy during your trial, your first charge is on the day the trial ends. If you cancel during your trial, Pro ends at once, including the rest of your trial.

3.9 Pro Free for Public Repositories. Under Thrum's open-source eligibility program, Thrum grants a free-of-charge Subscription to the Pro Features for one public repository that you register. The repository must be public on github.com, gitlab.com, bitbucket.org, codeberg.org, or dev.azure.com (including the older *.visualstudio.com addresses); its license does not matter. You must have an account and activate the device, and the grant belongs to the device that registered. Thrum re-checks each repository about every thirty (30) days. If a re-check finds that a repository is no longer public, Thrum checks again seven (7) days later and, if it is still not public, ends the grant. A grant does not change your plan for other repositories.

4. Acceptable Use

You agree not to: (a) share your account credentials or Subscription with unauthorized third parties; (b) attempt to obtain a Subscription through fraudulent means; (c) interfere with or disrupt the Service, including the license-verification infrastructure; (d) attempt to gain unauthorized access to the Service or related systems; (e) use the Service in violation of applicable law; or (f) initiate a chargeback or payment dispute for a Subscription rather than first contacting us at leon@thrum.team to resolve it.

5. Suspension and Termination

Thrum may suspend or terminate your account for material breach of these Terms, on written notice and a ten (10) day opportunity to cure where the breach is capable of cure. Thrum may suspend immediately and without notice for breaches of Section 4, for fraudulent or abusive conduct, or where required by law.

You may close your account at any time by contacting us at leon@thrum.team. Termination of your account ends your ability to obtain License Check-In verification, which will disable paid features of the Software per the EULA.

If Thrum terminates your account other than for your breach, you will receive a pro-rata refund of prepaid fees for the unused remainder of your then-current term.

6. Service Availability

Thrum will use commercially reasonable efforts to keep the Service available but does not guarantee uninterrupted or error-free operation. The Service may be unavailable due to maintenance, updates, third-party outages, or circumstances beyond Thrum's control. Thrum does not provide an uptime guarantee or service-level agreement unless separately agreed in writing.

A Service outage does not immediately disable the Software. The Software verifies your license offline, against a trust anchor included in the Software itself, using a license token that carries its own expiry date. The Software does not require a successful License Check-In in order to keep working: a License Check-In renews your token, and if one fails or cannot reach the Service, your existing valid token remains in place and the Software continues to operate until that token expires. A Service outage is therefore not visible to you while your token remains valid.

How long the Software works offline. Each successful License Check-In issues a fresh token valid for thirty (30) days. The Software therefore continues to operate for up to thirty days from your last successful License Check-In, even if the Service is unreachable for that entire period. Subscriptions billed against a paid-through date may carry a longer period. When a token does expire without a successful renewal, the Software does not stop or lose your data — licensed features revert to the free-tier behavior and the Software continues running. It keeps attempting to renew, and licensed features are restored automatically once it succeeds. Renewal succeeds only if your Subscription is still active: if the Service was simply unreachable, restoring connectivity is enough, but if your Subscription has lapsed or been cancelled, licensed features remain unavailable until it is active again. Similarly, if a device has been deactivated, it will not renew on reconnection and must be re-activated.

6.1 Support and discontinuation. Thrum provides support on a commercially reasonable, best-efforts basis by email at leon@thrum.team. Thrum does not commit to any response time or resolution time unless separately agreed in writing. Thrum may discontinue the Service or the Software on thirty (30) days' notice, in which case you will receive a pro-rata refund of prepaid fees for the unused remainder of your then-current term.

7. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT, TO THE MAXIMUM EXTENT PERMITTED BY LAW.

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL THRUM BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, BUSINESS, OR GOODWILL, ARISING OUT OF OR RELATED TO THE SERVICE, INCLUDING ANY INABILITY TO PERFORM A LICENSE CHECK-IN OR ANY RESULTING DISABLING OF SOFTWARE FEATURES, REGARDLESS OF THE THEORY OF LIABILITY AND EVEN IF THRUM HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

THRUM'S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATED TO THE SERVICE SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNTS PAID FOR YOUR SUBSCRIPTION, WHETHER TO THRUM OR TO ITS MERCHANT OF RECORD, IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (B) FIFTY U.S. DOLLARS ($50).

Exclusions from the limitations. The limitations and exclusions in this Section do not apply to: (a) death or personal injury caused by Thrum's negligence; (b) Thrum's gross negligence, willful misconduct, or fraud; (c) any liability that cannot be excluded or limited under applicable law; or (d) the statutory rights of a consumer as described in Section 10.1.

These limitations apply even if a limited remedy fails of its essential purpose, and allocate risk between the parties as reflected in the pricing of the Subscription. Some jurisdictions do not allow certain limitations, so some of the above may not apply to you.

Thrum is not responsible for payment processing errors, disputes, or refund handling performed by Lemon Squeezy as merchant of record. Thrum's aggregate liability under these Terms and under the EULA is a single combined cap and is not cumulative.

8.1 Indemnification

You will defend, indemnify, and hold harmless Thrum and its members, officers, and agents from any third-party claim, and from the resulting losses, liabilities, damages, costs, and expenses (including reasonable attorneys' fees), arising out of: (a) your use of the Service in violation of these Terms or applicable law; (b) your breach of Section 4 (Acceptable Use); or (c) information you provide to the Service that infringes or violates a third party's rights. The procedure in Section 15 of the EULA (notice, Thrum's control of its own defense, and no settlement in Thrum's name without its consent) applies to claims under this Section. This Section applies to consumers only to the extent permitted by Section 10.1.

9. Changes to These Terms

Thrum may modify these Terms from time to time. Thrum will give notice of material changes to these Terms, to the EULA, or to the Privacy Policy at least thirty (30) days before they take effect, by email to the address on your account or through the account portal. If you do not accept a material change, you may cancel your Subscription before it takes effect and receive a pro-rata refund of fees paid for the unused remainder of your then-current term. You will be asked to accept materially revised Terms through the account portal before they apply to you. Until you accept them, Thrum may decline to renew your Subscription or to issue new license tokens, and your Subscription will then end at the close of its current term, without any further charge to you. Non-material changes, such as clarifications and corrections, take effect when posted. Changes do not apply retroactively to any dispute arising before their effective date.

10. Governing Law and Dispute Resolution

These Terms are governed by the laws of the State of Washington, without regard to conflict-of-laws principles.

Informal resolution first. Before starting any legal proceeding, the party with a dispute must send the other a written notice describing it and the relief sought: to leon@thrum.team for Thrum, or to the email address on your account for you. Both parties will try in good faith to resolve it for thirty (30) days after the notice is received. This does not prevent either party from seeking urgent injunctive relief to protect its intellectual property or confidential information.

Courts. If the dispute is not resolved, it will be decided exclusively by the state and federal courts located in King County, Washington, and each party consents to personal jurisdiction and venue there. Either party may instead bring an individual claim in a small claims court of competent jurisdiction. There is no arbitration agreement between you and Thrum.

Consumers in the EEA, UK, and Switzerland. If you are a consumer habitually resident in the European Economic Area, the United Kingdom, or Switzerland, the exclusive-court provision above does not apply to you. You may bring proceedings in the courts of your country of residence, and the choice of Washington law does not deprive you of the protection of the mandatory consumer-protection rules of that country.

10.1 Consumers — mandatory local rights

If you are a consumer habitually resident in the European Economic Area, the United Kingdom, or another jurisdiction whose law grants you non-waivable consumer protections, nothing in these Terms limits those rights, and no provision of these Terms applies to you to the extent it would deprive you of them. Sections 3.3, 3.4, 5, 7, 8, and 9 apply to you only to the extent permitted by the law of your place of residence. In particular, if you have a statutory right to withdraw from the purchase of digital content within a cooling-off period, these Terms do not limit that right.

11. Relationship to the EULA and Privacy Policy

These Terms govern only the Service (account, licensing, license verification, and the website). Your right to install and use the Software is governed exclusively by the EULA. Thrum's collection and use of personal data across both the Service and the Software's License Check-In is governed by the Privacy Policy.

13. General

Eligibility. You must be at least 18 years old, or the age of majority in your jurisdiction, and able to form a binding contract, to use the Service. If you are in the European Economic Area or the United Kingdom, you must be at least 16.

Accrued fees. Termination or expiration of your account does not relieve you of the obligation to pay any fees accrued and unpaid as of the effective date of termination, and does not entitle you to a refund except as expressly provided in Section 5, Section 6.1, or Section 9.

Export and sanctions. You represent that you are not located in, a national or resident of, or under the control of any jurisdiction subject to comprehensive U.S. sanctions, and that you are not identified on any U.S. government list of restricted or prohibited parties. Thrum may suspend or terminate your account if this ceases to be true.

Entire agreement and order of precedence. These Terms, together with the EULA and the Privacy Policy, constitute the entire agreement between you and Thrum regarding the Service. If these Terms conflict with the EULA regarding the Service, the account, or billing, these Terms govern. If they conflict regarding the Software itself, the EULA governs. Thrum's handling of personal data is governed by the Privacy Policy in all cases.

Severability. If any provision of these Terms is held unenforceable, it will be modified to the minimum extent necessary to make it enforceable, and the remaining provisions remain in full effect.

Survival. Sections 3.4 (as to accrued rights), 7, 8, 10, 11, and 13 survive termination of your account.

Assignment. You may not assign these Terms or any rights under them without Thrum's prior written consent; any attempt to do so is void. Thrum may assign these Terms freely, including in connection with a merger, acquisition, reorganization, or sale of substantially all of its assets.

Notices. Thrum may give you notice by email to the address on your account or through the account portal. You must give Thrum notice in writing to leon@thrum.team or to THRUM LLC, 316 Queen Anne Dr, Seattle, WA 98109-1862.

No waiver. Thrum's failure to enforce any provision is not a waiver of that provision or any other.

Force majeure. Thrum is not liable for any delay or failure to perform resulting from causes beyond its reasonable control.

Independent parties. Nothing in these Terms creates a partnership, joint venture, agency, or employment relationship.
